AFFILIATE MARKETING TERMS OF SERVICE AGREEMENT
This Affiliate Marketing Terms of Service Agreement ("Agreement") is entered into by and between Progressive Medical Centers ("Company") and the individual or entity agreeing to these terms ("Affiliate").
1. AGREEMENT ACCEPTANCE
By enrolling in the Company's affiliate program, Affiliate agrees to comply with and be bound by the terms and conditions set forth in this Agreement.
2. AFFILIATE RESPONSIBILITIES
2.1 Marketing Activities: Affiliate agrees to actively promote and market the Company's DIY food allergy assessment products in accordance with the marketing guidelines provided by the Company.
2.2 Compliance with Laws: Affiliate shall comply with all applicable laws, regulations, and guidelines in connection with its marketing activities. It is explicitly understood that the Affiliate is not a licensed healthcare provider and shall not engage in any activities that require such licensure.
2.3 Representation: Affiliate agrees not to make any representations or warranties about the Company's products that are inconsistent with the information provided by the Company.
3. COMMISSIONS AND PAYMENT
3.1 Commissions: The Company agrees to pay the Affiliate a commission for each sale generated through the Affiliate's marketing efforts, as outlined in the Company's affiliate program.
3.2 Payment: Commissions will be paid on a [monthly/quarterly] basis, and payment details will be provided to the Affiliate upon enrollment in the affiliate program.
4. INTELLECTUAL PROPERTY
4.1 License: The Company grants the Affiliate a non-exclusive, revocable, non-transferable license to use the Company's trademarks, logos, and marketing materials solely for the purpose of promoting the Company's products.
4.2 Ownership: All intellectual property rights in the Company's products and materials remain the sole property of the Company.
5. DISCLAIMER OF LIABILITY
Affiliate acknowledges that it is not a licensed healthcare provider and shall not provide medical advice or services. The Company disclaims any liability arising from the Affiliate's failure to comply with this provision.
6. TERM AND TERMINATION
This Agreement shall commence on the Effective Date and shall continue until terminated by either party with written notice.
7. MISCELLANEOUS
7.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
7.2 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings.
